Gamma Holding strengthens Sleep Care Fabrics and Filtration technology business units
Gamma Holding N.V. is to acquire the company Textiles y Diseños SA (Buenos Aires, Argentina) from its current owners, the Dijiani family. Textiles y Diseños will be included in the consolidated annual accounts of Gamma Holding with effect from 1 December 2003. Moreover Gamma Holding, through its newly formed Goodman Filtration, Inc., Paterson, New Jersey, has also reached an agreement with C. Goodman & Company, Inc. to acquire its filter media business effective January 1, 2004. Both acquisitions represent an important step in the further expansion and strengthening of the Sleep Care Fabrics and Filtration Technology business units.
Textiles y Diseños, founded in 1999, is mainly active in the manufacture of jacquard mattress ticking. Its production facilities are located in Buenos Aires, Argentina. The acquisition will, in particular, strengthen the market position in Argentina and create opportunities to serve other South American countries as well. Textiles y Diseños generates a turnover of approximately EUR 1.4 million.
The acquisition of Textiles y Diseños is in line with the drive to have local production facilities throughout the world. Sleep Care Fabrics focuses on the manufacture of high-quality mattress ticking and buggy and garden furniture fabrics. The business unit now has sales and production facilities in Europe (Belgium, Germany, Czech Republic), the United States of America, South America (Brazil and Argentina), Australia and China.
Goodman Filtration Inc. manufactures and sells filter cloths for wet filtration in the chemical industry and in water-purification applications. With present sales of 1.5 million USD, Goodman is considered to be a specialist in that market supplying both filter press manufacturers and users in the United States.
Goodman Filtration, Inc. is expected to complement Gamma's already existing US entities Madison Filter, Inc. and Crosible, Inc. Gamma's business unit Filtration Technology holds leading positions worldwide in various market segments.
Gamma Holding has financed both acquisitions from available credit facilities. The transactions will have a positive effect on earnings per share.
